After the publication of the 2008 Finance Bill on 27 March 2008, we look at the key changes which affect employee incentives and suggest what you should be doing about them.

 


 

General interest

 

Companies Act 2006

We look at a change to the rules on execution of deeds which came into effect on 6 April 2008, the relaxation will make it easier for companies to grant options and to make other share-based awards.

 

New rules on residence and domicile

With effect from 6 April 2008, the tax regime for individuals who are not UK resident and ordinarily resident and / or non-UK domiciled has changed substantially.

 

Changes to capital gains tax
We summarise the changes to CGT which took effect on 6 April 2008 as they apply to employee incentives.

 

Update on employer PAYE obligations

We look at the new rules on PAYE recovery which came into force on 20 March 2008 to reverse the Demibourne case.

 

Reminder - employers need to report share plans operated in 2007/08 before 7 July 2008
Companies with employee or director owned shares or options need to submit annual returns for 2007/08 before 7 July 2008, we look at the process and the pitfalls.

We were recently asked by a client on the full list of the London Stock Exchange to advise on the grant of options to NEDs, we look at why this is generally frowned upon and whether the attitude is always correct irrespective of how the option is structured.

We are delighted to announce that Beatrice Chivers joined the UK employee incentives and benefits team on 17 March 2008.

 

Beatrice is a Chartered Tax Adviser who has specialised in expatriate tax and employee share plans for over eight years.  Beatrice previously worked at Ernst & Young and prior to that at PricewaterhouseCoopers. 

 

Beatrice has extensive experience of project-managing global share plan advice including tax and legal due diligence in 33 countries for a plan which won a ProShare award for "Best New Plan".   Head of the UK Employment Group and joint head of the International Employment Group Ian Hunter said: "We are delighted to welcome Beatrice, her arrival shows the firm's commitment to the EIB group as an integral part of our HR services offering and it demonstrates our growing cross-border employee incentives capability".

Colin Kendon will be speaking at an SME conference organised by the ESOP Centre and the Institute of Directors on "Making an Employee Share Market Work for Private SMEs".  

 

The all-day conference will take place on 17 September 2008, we will provide registration details after these are finalised in our next edition. 

 

We have considerable experience of establishing internal employee markets of this sort which typically involve founder shareholders releasing shares to employees via an HMRC approved share incentive plan.  The arrangement allows employees to buy shares out of pre-tax salary and it allows founder shareholders to manage succession issues.  We want to focus, however, on how to use these arrangements to drive corporate performance.
