Regulatory - Definitions and interpretation of certain words

Definitions

The following words as used in the Legal Notices and elsewhere on this website, in emails and in other materials are to have the meanings assigned below, except where the context otherwise requires.

Bird & Bird, the firm, we or our

“Bird & Bird”, the “firm”, “we” or “our” mean Bird & Bird LLP and its affiliated and associated businesses and entities or one or more of Bird & Bird LLP and those affiliated or associated businesses or entities as the context requires.

Bird & Bird entity

Bird & Bird entity means Bird & Bird LLP or any one of its affiliated and associated businesses and entities.

Bird & Bird individual

"Bird & Bird individual" means any employee, consultant, member and partner of Bird & Bird, whether or not named in website content, including any employee or consultant of any service company wholly owned by Bird & Bird and "claim personally against any Bird & Bird individual" includes any claim against any such service company, not itself practising law, for vicarious liability.

Group

“Group”, mean Bird & Bird LLP and its affiliated or associated businesses or entities.  

Intellectual Property Rights

"Intellectual Property Rights" means (i) copyright, patents, database rights and rights in trade marks, designs, know-how and confidential information (whether registered or not); (ii) applications for registration and the right to apply for registration for any of these rights; and (iii) all other intellectual property rights and equivalent or similar forms of protection existing anywhere in the world.

Loss or damages

"Loss or damages" includes any direct or indirect damage or loss of profits, business or data or for any special, incidental, consequential, punitive or exemplary loss, liability or costs (whether arising from negligence, breach of contract or otherwise) regardless of whether it was foreseeable or not or other damages whatsoever.

Partners

The word “partner” is used to refer to a member of Bird & Bird LLP or an employee or consultant, or to a partner, member, director, employee or consultant in any of its affiliated or associated businesses, with equivalent standing or qualifications.  For further information on our partners see "Partners" here.

Relevant loss or damage

"Relevant loss or damage" means loss or damage, whether direct, indirect or consequential, which may arise in connection with the operation of, or reliance on website content on, this website or any such other website.

Website content

"Website content," in respect of this or any other website, includes any text, software, database, format, graphic and written work,  briefing, newsletter, press release, news item, guide, article, case report and any other material, document or html reproduction [of any such item] , whether on the website or downloaded from it or supplied by Bird & Bird, or owner of any other website, on request using a subscription facility or contact information on this or any other website.

You or your

"You" or "your" mean a user of this or other relevant website.

In the Legal Notices, the heading used for each paragraph does not affect its interpretation. 

Affiliated or associated businesses or entities

References to Bird & Bird LLP's affiliated and associated businesses and entities are to those currently as described on the country pages linked from the Regulatory Information page or included in its latest publicly available consolidated audited accounts or any other entities which Bird & Bird LLP may at any time conclusively certify to be an affiliated or associated business or entity.

Enactment

"Enactment" includes any legislation in any jurisdiction and any reference to an enactment is a reference to that enactment as amended, extended, applied or re- enacted from time to time and includes references to any subordinate legislation made under that enactment. 

Person

References to persons include an individual, a body corporate and an unincorporated association of persons.

Use of ampersand

Use of an additional ampersand in this web site, in emails and in other materials, such as "John Smith & Bird & Bird" does not imply that the person so named and Bird & Bird are in partnership or that there is a business entity of that name.  If the person so named is a partner in, employee of or consultant to Bird & Bird LLP or any of its affiliated and associated businesses and entities then his potential liabilities, if any, are limited to those arising in his capacity as such partner, employee or consultant; he does not assume joint liability with Bird & Bird LLP or any of its affiliated and associated businesses and entities, except any liability that arises by operation of the general law.

One/truly international law firm

Use of the phrase "one international law firm" or "truly international law firm" or a phrase to similar effect, should not be taken to imply that Bird & Bird, comprising Bird & Bird LLP and its affiliated and associated businesses and entities, is a single partnership or unincorporated association or otherwise that Bird & Bird LLP and its affiliated and associated businesses and entities necessarily share joint liability in any respect.  In particular, the potential liabilities, if any, of each partner in, employee of or consultant to Bird & Bird LLP or any of its affiliated and associated businesses and entities are limited to those arising in his capacity as such partner, employee or consultant; none of them assumes joint liability with Bird & Bird LLP or any of its affiliated and associated businesses and entities, except any liability that arises by operation of the general law or applicable bar rules.
