I'm a tax partner based in London advising clients on a wide range of transactional and structuring corporate tax matters.
I am a dual-qualified lawyer and chartered accountant. I advise on corporate tax matters, with a particular focus on M&A (including W&I), finance, intra-group reorganisations and structuring of commercial agreements. I have a strength in international tax and complex contractual drafting. I have significant experience advising clients in the Technology sector (including on the taxation of intellectual property and cryptoassets) as well as the Media, Entertainment and Sport sector (including advising on non-resident entertainers withholding tax issues).
I advise a wide range of international clients, ranging from large multinationals, founders, individual sellers, investors, insurers, banks, partnerships, and non-profit organisations.
My experience includes:
M&A – from pre-sale structuring (holdco planning, hive downs, debt and equity funding, VAT recovery on deal costs) to implementation of corporate, joint venture and other transactions (negotiating tax provisions and documents) to post-sale reorganisations;
reorganisations – such as corporate group simplifications and restructuring to utilise tax attributes;
commercial – such as tax structuring of outsourcing, broadcasting, distribution and supply contracts;
corporate finance – such as tax efficient structuring of debt and equity, including distributions, repayments, grouping and tax relief considerations;
international tax – such as inbound investment (involving entity classification and management of tax residence and permanent establishment), outbound expansion, cross-border lending and service provision; and
finance – from vanilla lending through to securitisations.
