I'm a tax partner based in London advising clients on a wide range of transactional and structuring corporate tax matters.
I am a dual-qualified lawyer and chartered accountant advising a wide range of international clients, ranging from founders, individual sellers, investors, insurers, banks, multinationals, partnerships, and non-profit organisations. I have extensive experience advising on corporate tax issues in a wide range of areas including:
• M&A – from pre-sale structuring (holdco planning, hive downs, debt and equity funding, VAT recovery on deal costs) to implementation of corporate, joint venture and other transactions (negotiating tax provisions and documents) to post-sale reorganisations;
• reorganisations – such as corporate group simplifications and restructuring to utilise tax attributes;
• commercial – such as tax structuring of outsourcing, broadcasting, distribution and supply contracts;
• corporate finance – such as tax efficient structuring of debt and equity, including distributions, repayments, grouping and tax relief considerations;
• international tax – such as inbound investment (involving entity classification and management of tax residence and permanent establishment), outbound expansion, cross-border lending and service provision; and
• finance – from vanilla lending through to securitisations.
I also have significant expertise in many of the tax issues affecting the Technology sector (such as taxation of cryptoassets and intellectual property, including royalty and patent withholding taxes) as well as the Media, Entertainment and Sport sector.
My accounting background helps me add value, especially in the many areas of tax impacted by GAAP, and able to speak the language of CFOs and business divisions in client organisations.
