There are no mandatory pre-contractual disclosure requirements in Polish law, but there are some general rules that Polish law recognises, such as the pre-contractual principle of good faith (culpa in contrahendo) and certain other rules of the Civil Code. The confidentiality of trade secrets is protected under the Act on Combating Unfair Competition, even before entering into non-disclosure obligations.
Conducting business activities in Poland requires registration, however entering into franchising agreements as a foreign franchisor does not require any such registration.
