As a partner in our corporate team in Düsseldorf I have advised our national and international clients since 2007 on M&A, VC Investments as well as domestic and cross-border reorganisations.

Bird & Bird LLP advises MaxLinear, Inc., a leading provider of radio frequency (RF), analog and mixed-signal integrated circuits for the connected home, wired and wireless infrastructure, and industrial and multimarket applications, on the acquisition of Intel’s Home Gateway Platform Division assets in an all-cash, asset transaction.

The transaction valued at $150 million was signed on 5 April 2020 and the closing is expected in the third quarter of 2020, subject to customary closing conditions, including regulatory approvals.

Intel’s Home Gateway Platform Division comprises Wi-Fi Access Points, Ethernet, and Home Gateway SoC products deployed across operator and retail markets. The acquisition will enable MaxLinear to complement its existing portfolio, bringing together a complete and scalable platform of connectivity and access solutions for its customers across target end-markets, as well as creating potential new revenue opportunities in adjacent target end-markets.

MaxLinear has been advised by the following international Bird & Bird lawyers: lead partners Dr Catharina Klumpp (Employment) and Dr Stefanie Orttmann (Corporate/M&A), associates Daniel Klare and Jan Medele (both Corporate/M&A), Düsseldorf, associate Dr Kathrin Kruse (Employment), Düsseldorf, partner Sandra Seah (Corporate/M&A), Singapore, Counsel Karolina Stawicka (Employment), associate Izabela Staniszewska-Brzozek (Commercial) both Warsaw and partner Anne-Cecile Hansson (Corporate/M&A), Paris.

The team acted in cooperation with lead advisor Wilson Sonsini Goodrich Rosati as well as with Austrian law firm Torggler.
