Bird & Bird advises doctari investor Vitruvian Partners on the acquisition of three companies

Bird & Bird LLP has advised Vitruvian Partners LLP, a European private equity firm and investor in healthcare service provider doctari GmbH, on its acquisition of three companies.

The acquisition of lichtfeld gmbh with its 70 office employees at the Hockenheim and Bielefeld locations was completed at the beginning of August. Viantro GmbH with approx. 30 employees and its headquarters in Heidelberg became part of the doctari group at the beginning of June. The third new company is the Munich-based tech firm Planerio GmbH with 50 employees, and its acquisition was completed at the beginning of July.

Viantro GmbH, the career network for doctors, brings services that focus on the needs of doctors in the group. The company specialises in career planning, permanent employment, and further training with the help of intelligent matching algorithms. Planerio GmbH offers hospitals and other healthcare facilities a comprehensive, cloud-based digital solution that merges and automates rosters, payroll and staff time recording. Together with lichtfeld gmbh, an industry player in the field of medical staff leasing, the pool of qualified professionals in the doctari group grows to 60,000 doctors and nursing professionals.

With this growth and the digital solutions available and to be expanded, the doctari group can aim even more efficiently to optimise and control personnel recruitment and planning in the healthcare sector.

All three companies will retain their respective locations. The doctari group has financed the three acquisitions with both its own and external funds. The parties have agreed not to disclose the amount of the investment.

Vitruvian Partners was advised by the following Bird & Bird lawyers: Partner Dr. Hans Peter Leube, LL.M., (lead), counsel Marianne Nawroth as well as associates Michael Maier und Konstantin Manus (all Corporate/M&A, Frankfurt/Main), partner Stephan Kübler, LL.M. (Corporate/M&A, Munich), associate Jan Medele (Corporate/M&A, Düsseldorf), partner Dr. Michael Jünemann, counsel Johannes Wirtz, LL.M. as well as associates Timo Förster, Julia Fröhder and Jonathan Stoldt (all Finance and Financial Regulation, Frankfurt/Main), partner Dr. Catharina Klumpp, LL.M. as well as associate Dr. Kathrin Kruse (both Employment Law, Düsseldorf) and partner Dr. Alexander Duisberg as well as associate Gökhan Kosak (both IT/Data Protection, Munich).

The doctari group was advised on debt financing by the team led by partner Dr. Michael Jünemann (Finance and Financial Regulation, Frankfurt/Main).

Bird & Bird has been advising Vitruvian Partners LLP since it joined doctari in 2018, a relationship that has been built and grown through trust in Bird & Bird's private equity and VC expertise, particularly in the areas of health tech, data-driven business models, and employee hiring and placement. Peter Leube's team has also advised Vitruvian on various financing rounds for the AI-based healthcare platform ADA Health, most recently in June this year.

The firm is particularly well-positioned when it comes to advising on investments in companies where data and data protection, regulation and digitalisation play a major role and thus pursue a significant innovation drive for the respective industry.
